Terms & Conditions

1. Definitions

• "Platform" means the MOSARAT website, applications, Concierge, Quick Plan tools and related services.
• "Program" or "Experience" means a corporate retreat, study tour, government delegation, innovation mission, wedding, honeymoon or other itinerary designed or coordinated through the Platform.
• "Proposal" means a draft itinerary, quotation, or plan generated for you, whether through Quick Plan, Concierge or a human advisor, prior to confirmation and payment.
• "Booking" means a Proposal that has been confirmed by you and for which payment has been received in accordance with our Payment Terms.
• "Third-Party Provider" means any hotel, airline, transport operator, venue, university, event organizer, innovation hub, government entity, or other independent supplier referenced in or delivering part of a Program.
• "Partner" means an organization (such as an innovation hub, free zone, university, or government or private entity) that participates in, hosts, or contributes to a Program under a separate partnership agreement or Memorandum of Understanding with MOSARAT.

2. Nature of Our Service

MOSARAT is an experience design, coordination, program planning and facilitation platform. We curate itineraries, connect you with Third-Party Providers and Partners, and coordinate the logistics of your Program.

MOSARAT is not a licensed travel agency, tour operator, visa guarantor, transportation operator, or hotel operator, and nothing on the Platform should be interpreted as such, unless we expressly state that a specific service is provided under a corresponding licence. Where a Program includes flights, visas, hotels or transport, those elements are arranged with or through independent Third-Party Providers under their own terms, and MOSARAT acts solely as a coordinator and facilitator of those arrangements on your behalf.

3. No Guaranteed Outcomes

MOSARAT facilitates experiences, introductions, meetings and programs but does not guarantee any business, educational, financial, employment, investment, networking, academic or commercial outcome arising from your participation in a Program. Any business deals, investments, partnerships, employment, admissions or academic results that may arise are between you and the relevant third party, and MOSARAT is not a party to, and assumes no responsibility for, the outcome of those relationships.

5. Booking Confirmation & Payment

A Program is only confirmed and reserved once (a) you have accepted the applicable Proposal Acceptance Terms, and (b) MOSARAT has received full or scheduled payment in accordance with our Payment Terms. Confirming a Proposal without completing payment does not reserve inventory, pricing or availability.

6. Cancellations, Changes & Refunds

We understand that plans change. The following cancellation policy applies to Bookings unless a different policy is expressly stated on your Proposal or Booking confirmation (for example, where a Third-Party Provider applies a stricter non-refundable policy that we pass through to you):

• More than 30 days before the Program start date: refundable, less a non-refundable administrative fee of up to 10% of the total Booking value and any amounts already committed to Third-Party Providers on your behalf.
• Between 14 and 30 days before the Program start date: 50% of the Booking value is refundable, less any amounts already committed to Third-Party Providers.
• Less than 14 days before the Program start date, or in the case of a no-show: non-refundable.
• Amounts already paid or contractually committed by MOSARAT to hotels, airlines, venues, universities or other Third-Party Providers on your behalf are non-refundable regardless of the timing of your cancellation, to the extent those amounts are non-refundable under the relevant Third-Party Provider's own terms.
• If MOSARAT or a Third-Party Provider cancels a confirmed Program (other than for Force Majeure, Customer breach, or reasons attributable to you), you will receive a full refund of amounts paid for the cancelled elements, or, at your option, a credit or comparable alternative.
• Late changes to a confirmed Program (date, headcount, itinerary elements) are accommodated on a reasonable-efforts basis and may incur additional charges reflecting Third-Party Provider re-booking costs.

7. Third-Party Services & Providers

Hotels, airlines, transport providers, venues, universities, event organizers, innovation hubs, and other Partners and Third-Party Providers referenced in a Program are independent entities and are not employees, agents or subcontractors of MOSARAT unless expressly agreed in writing. MOSARAT is not responsible for, and shall have no liability arising from, service failures, cancellations, delays, price changes, operational changes, quality issues, or the acts or omissions of any Third-Party Provider or Partner. Your use of any Third-Party Provider's services is subject to that provider's own terms and conditions, which we encourage you to review.

8. Concierge & AI-Generated Recommendations

The Platform includes a human Concierge service and automated tools (including Quick Plan and AI-assisted itinerary generation) that provide recommendations to help you plan your Program. Recommendations from our Concierge team and from automated or AI-assisted tools are advisory in nature and provided for your convenience; they do not constitute professional, legal, financial, immigration, investment, or academic advice, and should not be relied upon as such. 9. Document Vault & Travel Documents

Where a Program requires passports, visas, identification or other supporting documents, you may be asked to upload these to our secure Document Vault. Full terms governing storage, retention and your responsibilities for accuracy are set out in our Document Vault Terms, which form part of these Terms.

11. Intellectual Property

All proposals, itineraries, content, templates, designs, software, and brand assets made available through the Platform are the intellectual property of MOSARAT or its licensors, and remain the property of MOSARAT unless otherwise agreed in writing. You may use Proposals and related materials solely for your own personal or internal organizational purposes in connection with your Program, and you may not reproduce, resell, sublicense, or distribute them for any other commercial purpose without our prior written consent.

12. Limitation of Liability

To the maximum extent permitted by applicable law, MOSARAT shall not be liable for any indirect, incidental, special, consequential or punitive damages, including but not limited to lost profits, lost business opportunities, or business interruption, arising out of or in connection with your use of the Platform or any Program, even if we have been advised of the possibility of such damages.

To the maximum extent permitted by applicable law, MOSARAT's total aggregate liability arising out of or in connection with a Booking, whether in contract, tort, or otherwise, shall be limited to the total amount actually paid by you to MOSARAT for that Booking.

Nothing in these Terms limits or excludes liability that cannot lawfully be limited or excluded under the laws of the United Arab Emirates, including liability for death or personal injury caused by proven gross negligence or wilful misconduct.

13. Force Majeure

MOSARAT shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to pandemics or public health emergencies, natural disasters, government restrictions or travel advisories, political unrest, airspace closures, strikes, and severe weather events ("Force Majeure Events"). In the event of a Force Majeure Event, we will work with you in good faith to reschedule, credit, or partially refund your Program to the extent recoverable from affected Third-Party Providers.

14. Right to Refuse or Terminate Service

MOSARAT reserves the right to decline a proposal request, refuse a Booking, or suspend or terminate access to the Platform for legitimate reasons, including but not limited to suspected fraud, abusive conduct, non-payment, breach of these Terms, or requests that we reasonably believe expose MOSARAT, its staff, Partners or Third-Party Providers to legal, reputational, or safety risk.

15. Indemnification

You agree to indemnify and hold MOSARAT, its officers, employees, and Partners harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Platform, or your violation of any applicable law or third-party right.

16. Privacy

Our collection and use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

17. Governing Law & Dispute Resolution

These Terms are governed by and construed exclusively in accordance with the laws of the United Arab Emirates only, without regard to conflict-of-law principles. The United Arab Emirates is the sole governing jurisdiction for these Terms and for your use of the Platform.

Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of the United Arab Emirates only. No other national or foreign jurisdiction shall apply.

18. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, legal or regulatory requirements, or operational practices. We will post the updated Terms with a revised effective date, and material changes will be highlighted on the Platform. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

19. General

These Terms, together with our Privacy Policy, Payment Terms, Concierge & AI Terms, Document Vault Terms, and any Proposal Acceptance Terms you accept, constitute the entire agreement between you and MOSARAT regarding your use of the Platform, and supersede any prior agreements on this subject. If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any right or provision is not a waiver of that right or provision.
